These Terms of Use govern your access to and use of seabornecap.com and its related pages, collectively referred to as the "Site." The Site is operated by Seaborne Capital, LLC ("Seaborne," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you should not use the Site.

1. Informational Purposes Only

The Site provides general information about Seaborne, its team, investment activities, areas of interest, portfolio, and related business matters.

Nothing on the Site constitutes or should be interpreted as:

  • Investment, financial, legal, tax, accounting, or other professional advice

You should consult your own legal, financial, investment, accounting, and tax advisers before making any investment or business decision.

3. Investment Risk

Investments involve risk, including the possible loss of some or all invested capital.

Private investments may be speculative, illiquid, subject to transfer restrictions, and dependent on assumptions or events that may not occur.

Past performance, prior investments, and historical outcomes do not guarantee or predict future results. There can be no assurance that an investment, company, financing, fund, or strategy referenced on the Site has been or will be successful.

The Site may identify selected current or former portfolio companies, investments, financings, funds, industries, or transactions.

  • May not represent all investments or activities associated with Seaborne
  • May include investments made directly or through affiliated investment vehicles
  • Should not be interpreted as investment recommendations
  • Do not represent that a particular investment remains held by Seaborne
  • Do not establish that an investment has been or will be profitable

Company names, trademarks, logos, and other third-party materials remain the property of their respective owners. Their inclusion does not imply that a portfolio company or third party endorses the Site or every statement made on it.

5. Accuracy and Currency of Information

We seek to provide useful information but do not guarantee that Site content is accurate, complete, current, or free from errors.

Information may be based on estimates, internal records, information supplied by third parties, or information available as of a particular date. Unless expressly stated otherwise, information has not necessarily been independently verified or audited.

6. Submitting Information to Seaborne

The Site allows visitors to contact Seaborne concerning companies, investment opportunities, financings, partnerships, and other business matters.

Unless Seaborne has entered into a separate written confidentiality agreement covering the information before it is submitted, information sent through the Site, by email, or through another unsolicited communication should not be considered confidential or proprietary.

You should not submit trade secrets, confidential business information, or highly sensitive personal information unless appropriate confidentiality arrangements are already in place.

Seaborne regularly evaluates companies, technologies, business models, investment opportunities, and ideas. We may currently be evaluating, may previously have evaluated, or may later evaluate businesses or opportunities that are similar to information you submit.

Submitting information does not:

  • Create a confidential, fiduciary, advisory, agency, or other special relationship
  • Require Seaborne to review or respond to the submission
  • Require Seaborne to pursue, finance, or invest in an opportunity
  • Prevent Seaborne from considering or investing in similar or competing businesses
  • Create an obligation to return submitted materials
  • Entitle you to compensation
  • Restrict Seaborne's activities except as expressly agreed in writing

By submitting information, you represent that you have the right to provide it and that doing so does not violate another person's rights or any confidentiality obligation.

7. Intellectual Property

Unless otherwise indicated, the Site and its original content, including its text, design, layout, graphics, branding, photographs, and other materials, are owned by or licensed to Seaborne and are protected by intellectual-property laws.

Seaborne grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Site for lawful informational purposes.

You may not, without prior written permission:

  • Reproduce or republish substantial portions of the Site
  • Modify or create derivative works from Site content
  • Distribute, sell, license, or commercially exploit Site content
  • Remove copyright, trademark, or other proprietary notices
  • Use Seaborne's name, branding, or content in a manner that implies an unauthorized endorsement or affiliation

Nothing in these Terms transfers any intellectual-property right to you.

8. Prohibited Conduct

You may not:

  • Use the Site for an unlawful, fraudulent, misleading, or abusive purpose
  • Attempt to gain unauthorized access to the Site or related systems
  • Interfere with the Site's operation, availability, or security
  • Introduce viruses, malicious software, or harmful code
  • Use automated means to scrape, crawl, or extract Site content in a manner that materially burdens the Site or violates applicable law
  • Circumvent security or access-control measures
  • Misrepresent your identity, authority, or affiliation
  • Use Site content to violate another person's intellectual-property, privacy, or other rights
  • Imply an endorsement or relationship with Seaborne that does not exist

The Site may link to websites operated by portfolio companies, affiliated entities, publications, social media platforms, service providers, and other third parties.

Those links are provided for convenience and informational purposes. Seaborne does not control and is not responsible for third-party websites, products, services, content, security, availability, or privacy practices.

A link does not necessarily constitute an endorsement of the third party or all information available through the linked website.

10. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and all Site content are provided on an "as is" and "as available" basis.

Seaborne disclaims all express and implied warranties, including warranties concerning accuracy, completeness, availability, reliability, security, merchantability, fitness for a particular purpose, and non-infringement.

Seaborne does not warrant that the Site will operate without interruption, delay, error, or harmful components.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Seaborne and its affiliates, members, managers, officers, employees, agents, advisers, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to:

  • Your use of or inability to use the Site
  • Your reliance on Site content
  • Any error, omission, interruption, or security incident
  • Any third-party website or service
  • Any information submitted through the Site

This limitation applies regardless of the legal theory asserted and even if Seaborne has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

12. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Seaborne and its affiliates, members, managers, officers, employees, agents, advisers, and representatives from claims, liabilities, damages, losses, and reasonable costs arising from:

  • Your unlawful or unauthorized use of the Site
  • Your violation of these Terms
  • Information you submit in violation of another person's rights
  • Your violation of applicable law

13. Site Availability and Changes

We may modify, suspend, restrict, or discontinue any portion of the Site at any time without liability or prior notice.

We may also update these Terms periodically. Updated Terms become effective when posted unless otherwise stated.

Your continued use of the Site after updated Terms are posted constitutes acceptance of the revised Terms.

14. Governing Law and Venue

These Terms and any dispute arising from or relating to the Site will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

To the extent permitted by applicable law, any legal proceeding arising from or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in the State of Delaware, and each party consents to the jurisdiction of those courts.

This provision does not limit any rights that cannot lawfully be waived under the laws applicable to you.

15. Miscellaneous

If any provision of these Terms is held to be unlawful, invalid, or unenforceable, the remaining provisions will remain in effect.

Seaborne's failure to enforce a provision does not waive its right to enforce that provision later.

These Terms, together with the Privacy Policy and Disclosures, constitute the entire agreement between you and Seaborne concerning use of the Site, except where Seaborne has entered into a separate written agreement with you.
